Minutes of February 28, 2009 meeting

The WSPOA annual meeting was held on February 28th 2009, at 3:00pm, at 154 Wellington Drive. The minutes of the meeting follow:

The meeting was called to order at 3:10 p.m. by Association President Tanner Pittman, who welcomed those present and introduced new members. Each member was given an agenda, the minutes of the previous meeting, a letter appointing the Wellington Board of Directors proxy to vote on behalf of the Georgia-Alabama Development Corporation (formerly Spinks, Brown & Durand, LLC), a copy of proposed amendments to the Wellington By-laws, and information regarding the Sheriff’s Office’s neighborhood watch program.

Adoption of minutes from previous meeting: Upon motion and second, and by unanimous vote, the minutes of the previous (June 21, 2008) meeting of the Association were adopted.

Review of financials: Treasurer, Allan Trau, reviewed the income and expenses report for the year 2008, stating that total income was $7,537 in dues, and total expenses were $7,387. He projected that the Association would have roughly $1,700 in its account by the end of 2009.

Sod grass at front entrance: The President reviewed the Board’s plans for ongoing improvement of the front entrance to the Subdivision by installation of sod along the southern approach. After discussion, no vote was taken regarding this matter.  

Proposed Amendments to By-laws: Tanner Pittman distributed copies of proposed amendments to the Subdivision By-laws, which had first been presented at the June mid-year meeting and tabled for consideration. The amendments

(1)   Change the wording of the By-laws to reflect the fact that the Subdivision is now a non-profit corporation,

(2)   Allow for a quorum of one-third of the membership to take action at annual meetings, rather than the previous one-half, and

(3)   Provide a system for assessment of fines for violations of covenants, as well as notice of violation and right of homeowners to appeal fines to the Board of Directors and then to the full membership of the Association.

After discussion, the members proposed that the By-laws be further amended to allow

(1)   Waiver of a portion of fines imposed in case of hardship or at the discretion of the Board, once a covenant violation has been remedied

(2)   A cap upon imposition of fines, once 12 months worth of fines have been levied, and the filing of a lien with the Superior Court at such time.

With the above additions, the membership moved that we adopt the amendments to the By-laws, which motion was seconded, and the amendments passed by unanimous vote.

Neighborhood watch: At the request of several members throughout 2008, the President discussed formation of a neighborhood watch committee. After discussion, a motion was made and seconded that a committee be formed, which motion passed by unanimous vote. Initial members of the committee are Lorraine Hudson, Mary Anderson, Barbara Taylor, and Paige Woody, with Lorraine Hudson as chair of the committee.

New officers: Upon motion and second, Paige Woody of 127 Wellington Drive was unanimously elected President of the Association for the year 2009, and Tanner Pittman was elected Secretary. Johnny Ragan and Allan Trau were reelected to second terms as Vice President and Treasurer, respectively.

No further issues presenting themselves, upon motion and second, the meeting was adjourned.
